Please review and follow the JUST Capital Seal Guidelines, which describe how to use and promote the Seal as well as the design specifications. The JUST Capital Seal Guidelines are hereby incorporated into this JUST Capital Seal License Agreement.

License Agreement for Use of the Seal

Please read the following agreement terms carefully before using the Seal. Your use of the Seal shall constitute your acceptance of and agreement with all terms and conditions set forth under this agreement and the guidelines that are incorporated by reference.

Use of the Seal is expressly subject to and conditioned on your agreement to these terms.

The Seal is protected under United States and international trademark law. Use of the Seal, other than in accordance with the terms and conditions of this agreement or as otherwise authorized by law, is strictly prohibited and may constitute infringement of the proprietary rights of JUST Capital Foundation, Inc. (“JUST Capital”).

License Grant

JUST Capital hereby grants a nonexclusive, nontransferable license to use the Seal in accordance with the terms of this agreement.

The “Seal” refers to the certification mark identified in the JUST Capital Seal Guidelines.

Certain Terms of Use

  • The Seal may only be used by or on behalf of a business entity that has been certified by JUST Capital as one of America’s Most JUST Companies in the year(s) specified. Wherever used, the Seal must clearly be associated with such business entity.
  • You agree to use the Seal solely as prescribed in the JUST Capital Seal Guidelines.
  • You agree to not use the Seal in any manner likely to confuse, mislead, or deceive the public, or likely to disparage JUST Capital or its affiliates.
  • You agree to not use the Seal in any offensive or illegal manner.
  • You will not engage in any activity that disputes or adversely affects JUST Capital’s ownership of the Seal, such as filing any identical or confusingly similar trademark applications anywhere in the world or acquiring any identical or confusingly similar social media account or domain name.

Retained Rights

JUST Capital is and remains the sole owner of all rights, title, and interests in and to the Seal, including all intellectual property rights therein and all goodwill associated therewith. By entering into this agreement and by using the Seal, the user does not attain any interest in the Seal. JUST Capital retains all rights not expressly granted by JUST Capital herein. JUST Capital will have the sole right and discretion, but not the obligation, to prosecute, maintain, and enforce the Seal.

Termination of License

JUST Capital may terminate this agreement or revoke the license granted hereunder at any time for any reason, at its sole discretion, including but not limited to breach of any of the terms and conditions of this agreement. Upon receipt of written notice of termination from JUST Capital, you must immediately cease any and all further use and display of the Seal, and promptly remove the Seal from all existing public displays, including, if applicable, your website and other publicly facing materials.

Disclaimer

JUST CAPITAL LICENSES THE SEAL FOR USE “AS IS” AND MAKES NO WARRANTIES, REPRESENTATIONS, OR STATEMENTS, EXPRESS OR IMPLIED, WITH RESPECT TO THE SEAL. JUST CAPITAL WILL NOT BE RESPONSIBLE FOR ANY LOSS OR DAMAGES OF ANY KIND WHATSOEVER SUSTAINED BY ANY PARTY, HOWSOEVER CAUSED, AS REGARDS TO USE OF THE SEAL. YOU ARE NOT ENTITLED TO ANY RECOURSE AGAINST JUST CAPITAL OR ANY OF ITS AFFILIATES UPON EXPIRATION OR TERMINATION OF THIS AGREEMENT FOR ANY REASON. THIS DISCLAIMER WILL SURVIVE THE TERMINATION OR EXPIRATION OF THIS AGREEMENT.

Other Terms

Upon JUST Capital’s request, you will share a written list of all uses of the Seal by or on behalf of you and copies of the materials on which the Seal is or has been used.

JUST Capital reserves the right to alter or amend this agreement, including the JUST Capital Seal Guidelines, at any time. JUST Capital will notify the business entities certified as “America’s Most JUST Companies” by e-mail prior to such alterations or amendments. Your use of the Seal following such notice and amendment will be subject to and conditioned on your agreement to such altered or amended terms. This agreement will inure to the benefit of the parties’ successors and assigns. You may not assign this agreement or any of the rights granted hereunder without JUST Capital’s prior written consent. No waiver of any default by JUST Capital will be construed as a waiver of any other provision, performance, or default. If any provision of this agreement is found to be unenforceable, the balance of the agreement will continue in full force and effect. This agreement, including the JUST Capital Seal Guidelines, represents the entire and complete understanding between JUST Capital and you in regard to the covered subject matter.

This agreement and all matters relating to its validity, construction, and performance will be governed by the laws of the State of New York without regard to any conflict of laws principles. The parties hereby expressly agree to submit to the exclusive personal jurisdiction of the federal and state courts sitting in New York County, New York State for the purpose of resolving any dispute relating to this agreement. Notwithstanding the foregoing, JUST Capital may seek injunctive or other appropriate relief in any court of competent jurisdiction and you agree to exclusive jurisdiction and venue in such courts.

This agreement does not constitute or create a joint venture, principal-agent relationship, franchise, or partnership of any kind.

All notices to JUST Capital will be provided to legal@justcapital.com.

This “Other Terms” section will survive the termination or expiration of this agreement.
